1. Introduction

These Terms & Conditions (“Terms”) govern your access to and use of the WordBeam website, platform, applications, and related services (collectively, the “Services”).

By accessing our website, creating an account, purchasing a subscription, or using our Services, you agree to these Terms. If you do not agree to these Terms, you must not use the Services.

2. Eligibility and Accounts

You are responsible for:

We may add, modify, improve, or discontinue features from time to time. Where required by law or contract, we will provide appropriate notice of material changes.

4. AI-Generated Translations and Output

WordBeam may use artificial intelligence, machine learning, and third-party translation technologies to generate, suggest, analyze, or improve translations and other content.

You acknowledge and agree that:

  • AI-generated translations may contain errors, omissions, inaccuracies, or inappropriate terminology.
  • Translation quality may vary depending on the language pair, subject matter, source content, and selected engine.
  • AI-generated output may not always reflect the intended meaning, tone, context, or legal significance of the original content.
  • Automated quality assurance and terminology checks do not guarantee that a translation is complete, accurate, or fit for a particular purpose.
  • Human review may be necessary, especially for legal, medical, financial, technical, safety-critical, or otherwise sensitive content.

You are responsible for reviewing and validating translations before publication, distribution, or use in situations where errors could have material consequences.

WordBeam does not guarantee that any AI-generated output will be error-free, unique, or suitable for every intended use.

5. Acceptable Use

You agree to use the Services lawfully and responsibly.

You must not:

  • Use the Services for any unlawful, fraudulent, deceptive, or harmful purpose.
  • Upload, transmit, or process content that infringes another party's intellectual property, privacy, or other rights.
  • Attempt to gain unauthorized access to our systems, accounts, networks, or data.
  • Interfere with the security, integrity, or availability of the Services.
  • Introduce malware, malicious code, or other harmful material.
  • Reverse engineer, decompile, or attempt to discover the source code of the Services, except to the extent such restrictions are prohibited by applicable law.
  • Scrape, copy, or extract data from the Services through unauthorized automated means.
  • Circumvent usage limits, payment requirements, access controls, or technical restrictions.
  • Use the Services to develop or benchmark a competing service in violation of applicable contractual or legal restrictions.
  • Misrepresent AI-generated translations as certified translations or professional certifications that have not actually been obtained.

We may investigate suspected violations and take appropriate action, including restricting access or terminating an account, subject to applicable law.

6. User Content and Intellectual Property

6.1 Your Content

“User Content” means text, documents, files, translations, terminology databases, glossaries, translation memories, and other materials that you submit to, upload to, or create through the Services.

You retain ownership of your User Content, subject to any rights held by third parties.

You represent that you have all rights, permissions, and lawful grounds necessary to submit and process your User Content through the Services.

You grant WordBeam a limited, non-exclusive right to host, store, reproduce, transmit, and process your User Content solely as reasonably necessary to provide, maintain, secure, and support the Services, comply with legal obligations, and carry out other purposes disclosed to you and permitted by applicable law.

This license does not transfer ownership of your User Content to WordBeam.

6.2 Translation Memory and Glossaries

You retain your rights in the translation memories, glossaries, terminology databases, and other materials that you provide or create, subject to third-party rights and the applicable terms of your subscription.

Your access to, export of, and continued use of these materials may depend on available platform functionality and your plan.

6.3 WordBeam Intellectual Property

The Services, including their software, design, interfaces, branding, documentation, and underlying technology, are owned by or licensed to WordBeam and are protected by applicable intellectual property laws.

Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, sublicense, or commercially exploit our intellectual property without prior written permission.

6.4 Feedback

If you provide suggestions, ideas, or feedback about the Services, we may use them to improve our products without compensation to you, provided that doing so does not require us to disclose your confidential information or violate applicable law.

7. Data Protection and Confidentiality

We take the protection of user content and personal information seriously.

We use User Content to provide the Services and for other purposes disclosed to users and permitted by applicable law.

We do not use your content to train public AI models where our published commitments prohibit such use. Processing by third-party service providers is subject to applicable contractual arrangements and privacy commitments.

Depending on the features you use, your content may be processed by third-party technology providers to generate translations or provide other requested functionality.

You are responsible for ensuring that you have the necessary rights and permissions to submit confidential, personal, or otherwise sensitive information for processing.

Where applicable, separate data processing agreements or confidentiality arrangements may supplement these Terms.

8. Third-Party Services and Integrations

The Services may integrate with or provide access to third-party translation engines, software, APIs, storage providers, and other external services.

Third-party services may be governed by their own terms, privacy policies, and usage restrictions.

WordBeam does not control all third-party services and is not responsible for their independent operation, availability, or policies, except to the extent liability cannot be excluded under applicable law.

Your use of third-party services through WordBeam may be subject to additional conditions. You agree to comply with any applicable third-party requirements made available to you.

We may modify or discontinue integrations when reasonably necessary, subject to applicable contractual commitments and law.

9. Plans, Fees, and Payments

Certain features of WordBeam may require a paid subscription or other payment.

Before completing a purchase, you will be shown the applicable pricing, billing frequency, usage limits, and material plan conditions.

By purchasing a paid plan, you authorize the applicable payment provider to charge the fees disclosed during checkout using your selected payment method.

Unless otherwise stated at checkout or required by law:

  • Subscription fees are charged in accordance with the billing schedule presented when you purchase.
  • Applicable taxes may be added to the displayed prices.
  • Usage limits and feature availability depend on your selected plan.
  • You are responsible for keeping your billing information accurate and up to date.

If a payment fails, we may notify you and request an updated payment method. We may restrict paid features for overdue accounts, subject to applicable law and any applicable contractual notice requirements.

11. Cancellation and Refunds

You may cancel a subscription through the account or billing controls made available to you or by contacting our support team.

Unless otherwise specified in your plan terms or required by law, cancellation takes effect at the end of the current paid billing period. Access to paid features may continue until that period ends.

Cancellation prevents future renewals but does not automatically entitle you to a refund for fees already paid.

Refund eligibility is governed by the applicable purchase terms, any separate Refund Policy published by WordBeam, and applicable consumer protection laws.

Nothing in these Terms limits any mandatory cancellation, withdrawal, or refund rights that you may have under applicable law.

12. Service Availability and Maintenance

We aim to provide reliable and secure Services but do not guarantee uninterrupted or error-free availability.

The Services may occasionally be unavailable due to maintenance, updates, technical problems, third-party outages, security incidents, or circumstances beyond our reasonable control.

We may temporarily suspend access where necessary to maintain or protect the Services.

Where reasonably practicable, we will take appropriate steps to minimize disruption and communicate material service interruptions.

13. Disclaimers

To the fullest extent permitted by applicable law, the Services are provided on an “as available” basis.

Except for express commitments made in these Terms or in a separate written agreement, WordBeam makes no warranties that the Services will be uninterrupted, error-free, compatible with every system, or suitable for every particular purpose.

We do not warrant the accuracy, completeness, or reliability of AI-generated translations or other output.

You remain responsible for determining whether the Services and their output are appropriate for your particular requirements.

Nothing in these Terms excludes warranties or other rights that cannot lawfully be excluded or limited.

14. Limitation of Liability

To the fullest extent permitted by applicable law, WordBeam will not be liable for indirect, incidental, special, consequential, or punitive losses, or for loss of profits, revenue, business opportunities, anticipated savings, or goodwill arising from your use of the Services.

To the fullest extent permitted by applicable law, WordBeam will not be liable for losses resulting from your reliance on unreviewed AI-generated output, unauthorized access caused by your failure to protect account credentials, or interruptions attributable to third-party services beyond our reasonable control.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, willful misconduct, or any other liability that cannot lawfully be excluded or limited.

Any additional limitation or financial cap on liability must be interpreted subject to applicable law and any separate agreement between the parties.

15. Indemnification

To the extent permitted by applicable law, you agree to be responsible for losses, claims, and reasonable costs arising from your unlawful use of the Services, your material violation of these Terms, or your infringement of third-party rights through User Content you submit.

This provision does not apply to the extent a claim results from WordBeam's own breach of these Terms, negligence, willful misconduct, or other conduct for which liability cannot lawfully be excluded.

Where applicable, we will provide reasonable notice of relevant claims and an opportunity to participate in their defense.

16. Suspension and Termination

You may stop using the Services at any time and cancel your subscription in accordance with these Terms.

We may suspend or terminate your access if:

  • You materially breach these Terms and, where appropriate, fail to remedy the breach after notice.
  • Your use of the Services creates a significant security, legal, or operational risk.
  • We are required to do so by law or a competent authority.
  • We discontinue the relevant Services in accordance with applicable contractual obligations and law.

Where reasonably practicable and legally permitted, we will provide notice and an opportunity to address the issue before taking action.

Upon termination, your right to access the affected Services ends. Data retention, deletion, and export will be handled in accordance with our Privacy Policy, applicable plan terms, and applicable law.

Provisions that by their nature should survive termination will remain in effect, including provisions relating to intellectual property, outstanding payment obligations, disclaimers, and liability.

17. Changes to These Terms

We may update these Terms to reflect changes to our Services, business practices, legal obligations, or other relevant circumstances.

The updated version will be published on this page with a revised “Last Updated” date.

Where a change materially affects your rights or obligations, we will provide notice by appropriate means when required by law.

Your continued use of the Services after updated Terms take effect constitutes acceptance of the revised Terms where such acceptance is legally effective. 18. Governing Law and Dispute Resolution

These Terms are subject to the laws applicable to the agreement between you and WordBeam, without prejudice to mandatory consumer protection laws that apply to you.

Any dispute arising out of or relating to these Terms will be handled by the competent courts or other dispute resolution bodies determined under applicable law.

If you are a consumer, nothing in this section deprives you of mandatory rights to bring proceedings or benefit from legal protections available in your country of residence.

Before publication: WordBeam should specify its intended governing law and jurisdiction after confirming the contracting entity, registered office, and applicable consumer protection requirements.

19. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be limited or removed to the minimum extent necessary.

The remaining provisions will continue in effect to the extent permitted by applicable law.

20. Entire Agreement

These Terms, together with our Privacy Policy and any applicable subscription terms, order forms, or separate agreements, govern your use of the Services.

If a separate written agreement expressly conflicts with these Terms, the separate agreement will prevail to the extent of the conflict.

Failure to enforce a provision of these Terms does not constitute a waiver of our right to enforce it later.
